1. Parties, Scope, and Acceptance
Calyxon AI is a website and online service (the "Service")
operated by Neovia Ltd, a company incorporated in Cyprus with
registration number ΗΕ 476226 ("Neovia", "we", "us", "our").
References to "Calyxon AI" refer to Neovia operating the Service
under that brand name.
By accessing or using the Service (including any website,
dashboards, reports, signals, alerts, summaries, exports, or other
outputs), you ("you", "User") agree to these Terms & Conditions
(the "Terms"). If you do not agree, do not use the Service.
The Service is intended for business and professional users. If
you use the Service as a consumer, some provisions may not apply
to the extent prohibited by mandatory law; otherwise these Terms
apply to the fullest extent permitted.
2. Definitions
"Outputs" means any results, reports, signals, alerts, rankings,
summaries, insights, or information generated or presented by the
Service.
"User Inputs" means any data, text, files, prompts, lists, URLs,
instructions, or other content you submit to the Service.
3. No Financial, Investment, Legal, Tax, or Business Advice; No
Reliance
The Service and all Outputs are provided for informational and
research purposes only. Neovia and Calyxon AI are not financial
advisors, investment advisors, brokers, dealers, intermediaries,
legal advisors, tax advisors, auditors, or fiduciaries, and do not
provide regulated financial services.
The Service does not constitute an offer, solicitation,
endorsement, or recommendation to buy, sell, hold, or transact in
any asset (including tokens, securities, or other instruments),
nor to enter into any partnership, commercial arrangement, or
transaction. Neovia does not vet, verify, or guarantee the
legitimacy, suitability, solvency, compliance status, or
performance of any third party referenced by the Service.
You agree you will not rely on the Service or Outputs as the basis
for any investment, legal, tax, compliance, financial, or business
decision. You are solely responsible for conducting your own
independent due diligence and obtaining professional advice as
appropriate (including legal, tax, regulatory, and
technical/security reviews).
Any actions you take, investments you make, partnerships you
pursue, contracts you sign, or business decisions you implement
based on your use of the Service are entirely at your own risk and
responsibility.
4. Eligibility and Account Registration
You must be at least 18 years old and have legal capacity to enter
into contracts.
You are responsible for maintaining the confidentiality of your
credentials and for all activity under your account. Notify us
promptly of suspected unauthorized access.
5. Acceptable Use and Restrictions
You agree not to:

Reverse engineer, decompile, or attempt to discover source code
or underlying models/systems (except where such restriction is
prohibited by law).

Scrape, harvest, or extract data from the Service (including via
bots) except where expressly permitted in writing.

Resell, sublicense, distribute, publish, or make available
Outputs or access to the Service to third parties without our
written consent.

Use the Service to create or improve a competing product or
service.

Infringe intellectual property rights, privacy rights, or other
rights.

Use the Service for unlawful, deceptive, or harmful purposes.
We may monitor usage for security, abuse prevention, and
compliance, and may suspend or terminate access for violations.
6. User Inputs; Data You Provide
You represent and warrant that you have all necessary rights,
permissions, and lawful basis to submit User Inputs and to allow
us to process them to provide the Service.
Unless expressly agreed in writing, you will not submit special
category personal data (as defined under GDPR), financial account
credentials, highly confidential information, or any data you are
not legally permitted to share.
You grant Neovia a limited, non-exclusive, worldwide license to
host, process, reproduce, and use User Inputs solely to provide,
maintain, and improve the Service, and for security, compliance,
and abuse prevention.
7. Outputs, AI Limitations, and Disclaimers
The Service may use automated collection, third-party sources, and
AI/ML techniques. Outputs may be incomplete, inaccurate, outdated,
misleading, or erroneous, and may reflect limitations in data
sources or inference methods.
We do not warrant that Outputs are accurate, complete, current, or
fit for any particular purpose, nor that the Service will be
uninterrupted, secure, or error-free.
8. Intellectual Property
The Service, including all software, models, interfaces, design,
branding, databases, and Outputs (other than User Inputs), are
owned by Neovia or its licensors and are protected by intellectual
property laws.
Subject to these Terms, Neovia grants you a limited, revocable,
non-transferable, non-exclusive license to access and use the
Service and Outputs for your internal business purposes during
your subscription term.
If you provide suggestions or feedback, you grant Neovia a
perpetual, royalty-free right to use it without restriction.
9. Third-Party Services and Data Sources
The Service may reference or link to third-party websites, tools,
or data sources. Neovia does not control and is not responsible
for third-party content, availability, security, legality, or
accuracy.
Your use of third-party services is at your own risk and may be
subject to third-party terms.
10. Privacy and Data Protection
We process personal data in accordance with applicable Cyprus data
protection law and the EU GDPR. Details are set out in our
separate Privacy Policy, which users must review and accept when
signing up for the Service.
The Privacy Policy is available on our website and forms part of
the Service documentation. Where required by law, you are
responsible for providing any necessary notices to, and obtaining
any necessary consents from, individuals whose personal data you
submit as User Inputs.
11. Sanctions, Compliance, and Prohibited Use
You represent and warrant that neither you nor any person who
controls you, nor (where applicable) your beneficial owners, are
subject to applicable sanctions or located in a comprehensively
sanctioned jurisdiction, and that you will not use the Service in
violation of sanctions, AML, or other applicable laws.
We may suspend or terminate access if we reasonably believe your
use may violate laws or expose us to regulatory or legal risk.
12. Fees, Subscriptions, Renewals, and Cancellations
If you subscribe to a paid plan, you agree to pay the fees
displayed at the time of purchase. Fees are exclusive of
applicable taxes unless stated otherwise.
Subscriptions renew automatically for the same billing period
unless cancelled before the renewal date.
You may cancel at any time; cancellation takes effect at the end
of the then-current billing period unless otherwise stated at
checkout.
To the fullest extent permitted by law, fees are non-refundable
and we do not provide credits for partial periods, unused usage,
or downgrades, except where mandatory law requires otherwise or
where we expressly agree in writing.
If payment fails or is overdue, we may suspend or terminate
access. You remain responsible for all charges incurred, including
reasonable costs of collection where permitted by law.
We may change prices with prior notice; changes apply from the
next renewal or as otherwise disclosed.
13. Beta / Early Access
Portions of the Service may be provided as beta, trial, pilot, or
early access features. Such features may be modified, suspended,
or discontinued at any time and may be less reliable. To the
fullest extent permitted by law, beta features are provided "as
is" and "as available."
14. Termination and Suspension
We may suspend or terminate your access immediately if you breach
these Terms, misuse the Service, engage in scraping/competitive
use, or create risk to the Service, Neovia, or other users.
Upon termination, your right to access the Service ceases
immediately. Sections intended by nature to survive termination
(including IP, disclaimers, limitation of liability, indemnity,
governing law) will survive.
15. Limitation of Liability
To the fullest extent permitted by applicable law, Neovia, its
directors, officers, employees, agents, and contractors will not
be liable for any indirect, incidental, special, consequential,
exemplary, or punitive damages, or any loss of profits, revenue,
data, business, goodwill, opportunities, or anticipated savings,
arising out of or related to the Service or these Terms.
Without limiting the above, Neovia is not liable for investment
losses, token or asset price movements, failed negotiations,
partnership outcomes, missed opportunities, smart contract
vulnerabilities, third-party misconduct, or decisions you make
based on Outputs.
To the fullest extent permitted by law, Neovia's total aggregate
liability arising out of or relating to the Service or these Terms
is limited to the total subscription fees paid by you to Neovia in
the three (3) months preceding the event giving rise to the
claim.
You acknowledge that the fees reflect the allocation of risk and
the limitations in this section.
16. Indemnity
You agree to defend, indemnify, and hold harmless Neovia and its
directors, officers, employees, contractors, and agents from and
against any claims, damages, liabilities, losses, and expenses
(including reasonable legal fees) arising out of or related to:
(a) your use of the Service; (b) your User Inputs; (c) your breach
of these Terms; or (d) your violation of any law or third-party
right.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Cyprus.
The courts of Cyprus have exclusive jurisdiction over disputes
arising from or relating to these Terms or the Service.
18. Changes to These Terms
We may update these Terms from time to time. Updated Terms are
effective when posted on the Service. Continued use after posting
constitutes acceptance.
19. Miscellaneous

Severability: If any provision is held invalid or unenforceable,
the remaining provisions remain in effect.

Assignment: You may not assign these Terms without our written
consent. We may assign these Terms as part of a merger,
acquisition, restructuring, or sale of assets.

No waiver: Failure to enforce a provision is not a waiver.

Entire agreement: These Terms constitute the entire agreement
regarding the Service and supersede prior communications on the
subject.
